These Supporter / Founding Backer Terms ("Supporter Terms") apply to any person or entity that makes a voluntary financial contribution, supporter purchase, founding backer payment, sponsorship payment, or similar support payment to VitaForge through the VitaForge website, support page, payment link, checkout page, or related channel. By making any such payment, you agree to these Supporter Terms.
1. Purpose of Support
VitaForge may invite supporters, early backers, founding supporters, or sponsors to provide financial support to help fund the development, launch, improvement, or expansion of the VitaForge brand, platform, app, services, or related initiatives. Support may be offered through fixed contribution levels, custom contribution amounts, supporter packages, or similar formats.
2. Nature of Payment
Unless expressly agreed otherwise in a separate written agreement signed by VitaForge, any payment made under these Supporter Terms is deemed to be a voluntary support payment or supporter purchase made in support of the VitaForge project.
Such payment is not an investment, deposit, loan, security, equity contribution, share purchase, partnership contribution, or profit-sharing arrangement.
3. No Ownership or Control Rights
By making a support payment, you acknowledge and agree that you do not receive any of the following:
- ownership interest in VitaForge;
- shares, stock, equity, or securities;
- voting rights, management rights, governance rights, or decision-making authority;
- rights over strategy, roadmap, branding, features, pricing, operations, or launch decisions;
- intellectual property rights, source code rights, software ownership, business ownership, trademarks, domain names, content, or designs;
- rights to claim partnership, co-ownership, or co-founder status.
All legal and beneficial rights, title, and interest in VitaForge and all related assets remain solely with VitaForge and its lawful owner(s), unless expressly stated otherwise in a separate written agreement signed by VitaForge.
4. No Financial Return
A support payment does not entitle you to repayment, reimbursement except where required by applicable law, profit participation, dividends, interest, royalties, revenue share, commissions, financial upside, future distributions, or any return on investment.
5. Supporter Benefits
VitaForge may, at its sole discretion, offer certain supporter perks or benefits, such as early access, premium access, lifetime access, founding supporter recognition, badges, exclusive updates, launch privileges, or other symbolic or practical benefits.
- Any supporter benefit is optional and discretionary.
- Benefits may be modified, replaced, delayed, limited, or discontinued at any time.
- Benefits are subject to availability, feasibility, product evolution, and operational decisions.
- Benefits have no guaranteed monetary value unless explicitly stated.
6. No Guarantee of Launch, Timeline, or Features
While VitaForge may use support payments to help fund development, launch, or growth, VitaForge does not guarantee a specific launch date, release timeline, feature set, content scope, subscription structure, or roadmap.
7. Use of Funds
Support payments may be used by VitaForge for purposes including product design, software development, UI/UX work, infrastructure, hosting, branding, operations, legal and administrative costs, launch and marketing preparation, and other project-related or business-related purposes connected to VitaForge.
8. Refunds
Except where required by applicable law or expressly agreed by VitaForge in writing, all support payments are final and non-refundable. Because supporter payments are intended to support the project and may involve immediate allocation of time, planning, product, and operational resources, you agree that change-of-mind refunds are not guaranteed.
9. Payment Processing
Support payments may be processed through third-party payment providers such as Stripe, PayPal, or similar services. VitaForge is not responsible for payment failures, delays, bank processing times, card issuer restrictions, third-party checkout errors, or third-party platform outages.
10. Recognition and Public Acknowledgement
If VitaForge offers public recognition for supporters, such as listing supporter names or categories, VitaForge may remove, change, or limit recognition at its discretion and may decline to publish any name, title, or reference it considers inappropriate, misleading, unlawful, offensive, or incompatible with the brand.
11. No Partnership or Agency Relationship
Your support payment does not create any partnership, joint venture, agency relationship, fiduciary relationship, employment relationship, franchise relationship, or investment advisory relationship.
12. Reservation of Rights
VitaForge reserves the right to accept or decline support payments, change supporter tiers, change descriptions, perks, or recognition levels, close or suspend support campaigns, update pricing or contribution structures, remove or revise support-related content, and refuse support from any person or entity where deemed appropriate.
13. Limitation of Liability
To the fullest extent permitted by law, VitaForge shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or related to any support payment, supporter expectation, supporter benefit, campaign communication, project delay, feature change, or project evolution. VitaForge’s total aggregate liability relating to support payments shall not exceed the amount of the specific support payment made by the relevant supporter giving rise to the claim.
14. Relationship to Other Terms
These Supporter Terms supplement the Terms of Use and Privacy Policy. In the event of inconsistency regarding support payments, these Supporter Terms shall control to the extent of that inconsistency.
15. Governing Law and Jurisdiction
These Supporter Terms are governed by the laws of Belgium, without regard to conflict of law principles. To the extent permitted by applicable law, the competent courts in Belgium shall have exclusive jurisdiction over disputes arising out of or related to these Supporter Terms, without prejudice to mandatory consumer rights.
